Risk advisory
An independent view of what could go wrong in a transaction or a business, what it would cost, and what to do about it, before you commit.
Get in touchWhat we look at
Each review is built around the decision in front of you. Most draw on one or more of these areas.
-
Transaction risk
We review the structure, terms and parties to a deal and set out what could go wrong, how likely it is and what it would cost you.
-
Counterparty due diligence
The background, ownership and track record of the people and companies on the other side, so you know who you are dealing with.
-
Governance
Board structures, reporting lines and decision rights for family holdings and growing companies, checked against how decisions are really made.
-
Compliance and controls
Policies and internal controls that stand up to regulators, lenders and auditors, with a clear owner for each.
For decisions that are hard to reverse.
Clients usually come to us before they sign something significant: buying or selling a business, entering a joint venture, lending to a new partner or restructuring a family holding. Asking the hard questions at that point costs far less than a dispute later.
How an engagement works
Four steps, agreed with you at the start, so you know what you will receive and when.
Scope
We agree the question you need answered, what we will review and when you will have our findings.
Review
We read the documents, speak to the people involved and run the checks the question calls for.
Report
You receive a written report that ranks each risk by likelihood and impact, with a recommendation for each.
Follow through
If you want us to, we stay on to help put the recommendations in place or to review the final documents.
Common questions
Is the work confidential?
Yes. We are happy to sign a confidentiality agreement before reviewing any documents, and our findings are shared only with you.
Can you review a deal that is already under way?
Yes. Tell us the timetable when you get in touch and we will say plainly whether we can give a useful view in the time available.
How long does a review take?
It depends on the scope. We agree a timetable when we scope the work, and tell you straight away if anything changes it.
How are fees set?
We agree a fee for each engagement in advance, based on its scope. You will know the cost before any work starts.
